Welcome to SolidifyWeb.com. By accessing this website, requesting services, signing a proposal, or submitting payment, you agree to the following Terms & Conditions. Please read them carefully.
1. Services Provided
SolidifyWeb, LLC (“SolidifyWeb,” “we,” “our,” or “us”) provides professional digital services including, but not limited to:

Website design and development

E-commerce solutions
-
Web applications and client portals
-
Custom software development
-
Search Engine Optimization (SEO)
-
Website hosting, maintenance, and support

Third-party integrations and APIs
All services are governed by an approved proposal, Statement of Work (SOW), or signed agreement.
2. Payments, Deposits & Refund Policy

ALL SALES ARE FINAL.

All payments made to SolidifyWeb are non-refundable, including deposits, milestone payments, retainers, maintenance fees, and hourly charges.

Fixed-price projects require a 50% non-refundable deposit before work begins.
-
The remaining 50% balance is due upon project go-live, defined as deployment to a live production environment or public domain.
-
Invoices are due upon receipt unless otherwise stated.
Failure to submit timely payment may result in service interruption, suspension, or termination.
3. Maintenance Plans & Recurring Billing

Maintenance services are billed monthly in advance based on the selected plan.

Clients authorize SolidifyWeb to keep a valid credit card on file to prevent service interruptions.

Failed payments may result in temporary suspension of hosting, updates, and support.
If a website is hosted by SolidifyWeb and payment is not received, the site may be suspended until payment is collected.
4. Non-Payment & Non-Communication
If a client fails to respond to reasonable communication attempts (phone, text, or Microsoft Teams) for three (3) consecutive months, SolidifyWeb reserves the right to:

Take the website offline

Provide the client with a downloadable copy of website files
-
Terminate hosting and maintenance services
If a resolution is reached within the three-month period, all outstanding fees must be paid before services are restored.
5. Project Abandonment
If a client cancels, pauses indefinitely, or transfers a project to another provider after work has begun:

SolidifyWeb is entitled to payment for all work performed up to that point
-
Deposits are fully earned once project progress reaches 50%
-
If a project is 90% or more complete, the full remaining balance becomes immediately due
Project completion is determined by completed milestones and deliverables.
6. Client Access & Responsibility
If administrative or editor credentials are shared:

SolidifyWeb is not responsible for changes made by the client or third parties that affect functionality, performance, security, or look and feel

Issues caused by client-side access are not covered under maintenance or warranty
-
Any requested repairs will be billed at the standard hourly rate
-
SolidifyWeb may restore the site from the most recent stable backup if integrity is compromised
7. Emergency vs Non-Emergency Support
Business Hours
SolidifyWeb operates Monday through Friday, 9:00 AM – 5:00 PM Mountain Time, excluding holidays.
Requests submitted after hours will be addressed the next business day.
Emergency Issues

Security breaches or malware
-
Payment systems not functioning
Non-Emergency Issues

Content updates
-
Cosmetic or layout changes
-
Preference-based requests
Standard response time for non-emergency requests is 24–48 business hours.
8. Third-Party Services
SolidifyWeb is not responsible for outages, failures, pricing changes, or disruptions caused by third-party services, including hosting providers, plugins, APIs, payment processors, or SaaS platforms.
Any third-party costs are the responsibility of the client.
9. Intellectual Property
Upon full payment, clients own the final delivered website or software, excluding:

Third-party tools or licenses
-
SolidifyWeb proprietary frameworks or systems
SolidifyWeb reserves the right to display completed projects in portfolios and marketing materials unless otherwise agreed in writing.
10. No Guarantees
SolidifyWeb does not guarantee:

Specific SEO rankings
-
Sales, revenue, or conversions
-
Performance of third-party platforms
All services are provided using industry best practices.
11. Limitation of Liability
SolidifyWeb shall not be liable for indirect, incidental, or consequential damages, including lost revenue or profits. Liability is limited to the amount paid for services rendered.
12. Governing Law
These Terms & Conditions are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
13. Updates to These Terms
SolidifyWeb reserves the right to update these Terms & Conditions at any time. Continued use of our services constitutes acceptance of any changes.
